• Assisted in the acquisition of a casino and internet gambling operator by a publicly traded, multi-jurisdictional gaming company.
• Helped advise an acquisition by Hodgdon Powder Company in its acquisition of RCBS Reloading from Revelyst, a segment of Vista Outdoor (NYSE: VSTO).
• Acted as lead associate advising on the sell-side carveout and disposition of a cannabis FinTech platform.
• Assisted in the divestiture of a nationwide trucking finance firm.
• Acted as lead associate in the sale of a health FinTech company.

Public Companies, Securities & Capital Markets

• Assisted in a Rule 144A / Regulation S offering of $700 million aggregate principal amount of high-yield senior notes and concurrent $600 million cash tender offer for existing senior notes for an integrated transportation services company operating short line railroads and ports in the United States, Australia, Canada and Mexico.
• Advised on public company senior debt offerings of more than $1.5 billion.

• Assisted in transactions in restructuring and structured transactions for a variety of financial sponsors and other investors including the restructuring of a technology and media private investment fund.
• Part of deal team who represented The Andersons, Inc. (Nasdaq: ANDE) in an acquisition of a majority ownership in Skyland Grain, LLC.
• Lead associate in advising an integration transportation services company in multiple preferred and common equity issuances of over $1.5 billion.
• Assisted in representing a client in $450 million structured investment in a leading manufacturer and supplier of commemorative products.
