Jay always has his clients’ backs. His experienced tax counsel adds value to all types of transactions.

Overview

Jay resolves tax matters concerning acquisitions, dispositions, joint ventures, reorganizations and restructurings and helps privately-held businesses develop strategies for corporate acquisitions. He also leverages his strong knowledge of state income, sales and property tax law to represent clients in tax disputes with the Missouri and Kansas Departments of Revenue.

Jay serves as the Chair of Stinson's Business Taxation practice group, and his experience comes from years of advising on all types of tax issues and a wide range of transactional and corporate governance issues. Jay has also represented clients in challenging tax litigation matters, most notably winning a victory for a telecommunications company before the Supreme Court of Kansas, reversing a prior decision holding that wireless companies should be treated as public utilities for property tax purposes.

Experience

  • Jay has significant experience as lead counsel in an array of tax planning matters, including acquisitions and dispositions of businesses, tax-advantaged partnership and joint venture arrangements and structuring tax-deferred like-kind exchanges.
  • Policy-minded, Jay recently served on a special task force of the Tax Section of the American Bar Association, where he assisted in drafting legislation to protect retailers from consumer suits alleging the over-collection of state and local sales taxes.
  • Jay is a past vice-chair of the ABA's State and Local Tax Committee within the Tax Section.
