Overview

Our team of Tax Credit & Impact Finance attorneys are among the nation’s leaders in new markets tax credits (NMTCs) and have closed hundreds of federal and state NMTC transactions across the country for tax credit investors, syndicators, community development entities (CDEs), leverage and source lenders, and qualified active low-income community businesses. Our team brings expertise in NMTC deals of every size and project type, from construction and rehabilitation of transformative real estate projects to innovative operating business financing and small loan funds. We also structure and close transactions that combine federal NMTCs with other tax credits and incentives, including state NMTCs, federal and state historic rehabilitation tax credits, federal and state renewable energy tax credits, PACE financing, brownfield credits, opportunity zone investments, and bond financing.

Our attorneys regularly assist clients at every level of NMTC transactions in navigating post-closing asset management challenges, including debt and equity restructuring and default or workout scenarios. We also advise our CDE clients in regulatory aspects of the NMTC program, including ongoing compliance obligations, the CDE certification and allocation application process, and reviewing and complying with allocation agreements.
